APT CONSULT Independent School Clerking & Governor Advisory Service is designed to support school governors/Trustees to properly discharge their statutory responsibilities and to operate an effective and efficient governing body. The service is flexible in so far as governing bodies may elect to have support on governing meetings only, or may also choose to have attendance on committee meetings.

I have 12 years clerking experience which has been underpinned with 12-year experience as a school business manager/chief operating officer to various education establishments including Academies, Maintained Schools, Voluntary-Aided Schools, Secondary schools, Primary Schools and MATs for Governing Boards and all related panels including pupil disciplinary, staff disciplinary, grievance hearings, Governor/HR investigations, confidential note-taking, parental or staff complaints, school admission appeals and exclusion reviews.

I have completed the accredited DfE Development Programme for Clerks, through Hampshire County Council.

I have completed the Certificate in school business management.

I have previously been a company secretary.

The service offered is flexible dependant on the needs of the governing body or Trust Board but in the main includes the following:

Initial meeting with school leadership or governing board
At the start of the contract, I will visit your school to explain the service, familiarise myself with your processes and gather the information and documents that will be required to provide services to your school.

Advisory service on matters related to school governance.
Development of committee terms of reference, management of policy and policy review schedules and draft policies.
Advice by telephone and email on governance-related matters. This advice can be sought anytime during working hours and is suitable for matters that may arise pre or post governor meetings.

Updating service of forthcoming changes
Governors/Trustees will receive regular email updates on major legal/regulatory or Ofsted changes that are forthcoming or are about to come into effect with a view to enabling the governing body to keep abreast of their responsibilities.

Record keeping service
This includes keeping records of governing body constitution, appointments, terms of office, committee memberships, specialist roles, and pecuniary interests as required.

Coordinating, drafting and circulating agenda
Governors will be asked to suggest items for inclusion in the Agenda for meetings, such as Agenda to be circulated by email at least seven days before the meeting.

Attendance at governing body meeting, Committee meetings, disciplinary hearings, grievances, exclusion panels.

Where an issue requires further research, or an answer is not immediately available, I will provide an answer at a later stage.

Drafting and circulating minutes
Within 15 days of the meeting draft minutes will be sent out for approval and a copy reserved for future reference.

At the start of the contract, we will visit your school (or offer a video meeting) to provide an in-depth knowledge of the service, familiarise ourselves with your processes and policies and gather the information and documents that will be required to effectively provide a holistic service to your governance structure(s).

Advice and assistance on matters related to governance
Advice can be sought directly from your governance partner and the wider team on all governance-related matters. This advice is available throughout the contract and can be access at any time, via face-to-face meetings, telephone or email. Your governance partner will develop a supportive and professional relationship with your school leaders and board which is critical to effective governance.

Record keeping
All record keeping will be maintained by your governance partner with proactive management of review and action to ensure your constitution and statutory returns are up to date.

Updates on forthcoming changes
Your board and any delegated others will receive regular email updates relating to any national or local changes that could impact on your governance function t with a view to enabling your board to effectively discharge their responsibilities and remain complaint.

Coordinating, drafting and circulating agenda
Draft agendas will be prepared and shared with Senior Leaders and Chairs at least 21 days prior to scheduled meetings with approved agendas and supporting documents shared in line with your requested timeframes and in any event no later than 7 clear days prior to any pre-arranged meeting. Your governance partner will respond proactively to any ad hoc or panel hearing meetings as required.


Meeting support
Your consultant will attend all pre-arranged and contracted meetings, on the dates as mutually arranged and will offer a full clerking support service, with up to date and relevant advice and guidance provided where needed.


Drafting and circulating minutes
Within 14 days of the meeting draft minutes will be sent out for review and a copy appropriately stored for future reference. Any subsequent amendment or update requests will be actioned as appropriate with a copy maintained for circulation prior to the next meeting. All approved minutes will be stored securely inline with data protection and document retention requirements.

Prior to clerking, I worked for a public transport company based in London in their Customer Services department. My role was to take public complaints, and once an investigation into the complaint had been completed, I would respond to the customer in writing. 
Both these jobs have required good communication skills and being able to write clearly and concisely.

I initially became a Governor in 1998 and subsequently a Chair of Governors in a primary school. I was also appointed to a secondary school in special measures as an LA Governor where I was Chair of Personnel Committee.

I have worked with schools in special measures as a clerk on Interim Executive Boards. In 2006, I decided to start my own business as a Self-Employed Governance Professional. I currently clerk single academies, multi academy trust boards and maintained schools across counties in addition to working remotely anywhere in the UK.

I undertake ad hoc work for a Pupil Discipline Committee and Complaints Committee and advise governors on their role under DfE guidance on Exclusions and Complaints guidance.

I clerk Staff Dismissal Committees but although I have HR experience, I can only advise governors to take HR advice as and when necessary. I undertake to complete the notes from these meetings professionally in the event they be required for an employment tribunal.

I have indemnity insurance as a Governance Professional/Clerk to Governors.

During my ten years in post I also fulfilled the role of Company Secretary and Clerk to the governing body. I have been a Clerk since 2009 and have recently achieved the National Clerk Accreditation, with Merit. I am currently a Clerk to the Governing Body of a free school, an academy, a maintained school and a maintained nursery.

I have covered hearings, appeals and disciplinary meetings as well as Governing Body meetings. I have Pitman shorthand skills of 150 words per minute so can cover meetings where a tape recorder is not allowed.
