Model articles of association

The articles of association is the document that will set out the composition of the governing board and provide a framework for the governance arrangements such as the procedures for meetings. Each academy will have their own articles. It is essential for those clerking in academies and multi-academy-trusts to be familiar with their own articles.

The academy memorandum and articles of association set out the internal management, decision-making and running of the academy trust and its liability. They form an annex to the funding agreement for each academy.

You should complete the appropriate model document with your academy trust’s details. You should also clear the document with DfE before incorporating the academy trust.

Use ‘Academy articles of association: model 1’ if you are a single or multi-academy trust running a:

  • mainstream academy
  • special academy (for children with special educational needs or disabilities)
  • 16 to 19 academy (for 16- to 19-year-olds)
  • alternative provision academy (for children who can’t go to a mainstream academy)
  • free school
  • studio school

Use ‘Academy articles of association: model 2’ if you are a single or multi-academy trust running a university technical college (UTC).

Use ‘Co-operative academy trust articles of association: model 6’ if your school is part of a co-operative trust.
